1. Definitions
“Care Plus”: The company that owns the platform.
“QWIC”: The operating service/platform.
“User/Customer”: an entity using the Service.
“Subprocessor”: any third party provider that processes data on behalf of Care Plus/QWIC.

2. Acceptance of Terms
By using the Service, you agree to all terms of these Terms and the attached appendices. Any additional agreements (e.g., Enterprise Agreements) are entered into in writing and are binding on both parties.

3. Scope
QWIC
offers conversation management tools, no-code bot building, integrations, reporting, and technical support according to SLA.

4. Customer Obligations
Legal and ethical use.
Keep your login information confidential.
Obtaining legal approvals for marketing communications.
Compliance with third-party policies when integrated (e.g., WhatsApp policy).

5. Marketing messages (Opt-in / Opt-out)
Customer must verify recipients' consents before sending marketing messages.
Each message must include a simple cancellation method (e.g., reply “cancel” or a cancellation link).
QWIC provides mechanisms for consent logs and opt-out management; however, proof of consent and legal compliance remain with the customer.

7. Privacy and data processing
Care Plus is the primary data controller; QWIC is the technical operator.
The attached Data Processing Agreement (DPA) applies, which specifies: the purposes of processing, retention period, security controls, inspection rights, and breach notification procedures.
The Customer may request a list of sub-processors.

8. Security and Breach Notification
Implement standard security measures (encryption in transit/rest, access controls, audit logs).
In the event of a breach affecting customer data: Initial notification within 72 hours of discovery, and providing the customer with a detailed report and remediation plan.

9. Integrations with third parties
QWIC may use third-party service providers. We will notify the customer prior to any significant addition of a subprocessor. The customer has 14 days to object and discuss alternatives.
QWIC is not liable for service interruptions caused by a third party unless they are the result of QWIC's gross negligence.

10. Intellectual Property
The ownership and rights of the platform are reserved to Care Plus.
Customer grants QWIC a limited, non-exclusive operating license to use the Content solely to provide the Service.
Any use of the Content to enhance public models/products outside the scope of the Service requires the express written consent of the Customer.

11. Service Level and SLA
SLA Appendix applies (attached). Terms will not be invalidated unless a separate addendum provides.

12. Termination of Service and Suspension
QWIC reserves the right to suspend/terminate the service in the event of a serious breach, security threat, or non-payment.
When stopped, an opportunity is given to correct what is possible according to the situation.

13. Limitation of Liability
Maximum Care Plus Liability = Total Actual Payments Received from Customer during the twelve (12) months prior to the Accident.
This does not limit the parties' liability for intentional fraud, gross negligence, or intellectual property infringement.

14. Disputes and Applicable Law

These Terms are subject to the local laws applicable in the place of registration of Care Plus.

Any dispute shall be submitted to the competent local courts in the place of registration of Care Plus unless the parties agree in writing to an alternative mechanism (such as arbitration).

15. Amendments
Care Plus reserves the right to amend these Terms. Substantial amendments will be announced prior to their effective date. Continued use after the effective date constitutes acceptance of the new version.
